Welcome to Asterion API Services ("we," "us," or "our"). These API Terms of Service ("Terms") govern your access to and use of our Application Programming Interfaces ("APIs") and any related services provided through our Platform. By accessing or using our APIs, you agree to comply with and be bound by these Terms. If you do not agree to these Terms, you must not access or use our APIs.
API: Application Programming Interface, a set of protocols and tools for building software and applications.
API Key: A unique identifier used to authenticate requests associated with your project for usage and billing purposes.
Developer: An individual or entity that uses our APIs to build applications, products, or services.
Platform: The website and services provided by Asterion & Kojib.
User: Any individual or entity that accesses or uses the APIs.
Content: Any data, text, graphics, images, information, or other materials uploaded, downloaded, or appearing on the Platform.
By accessing or using our APIs, you agree to be bound by these Terms and our Privacy Policy. These Terms apply to all users of the APIs, including developers, partners, and any other third parties.
Eligibility: You must be at least 18 years old and have the legal capacity to enter into these Terms.
License Grant: We grant you a limited, non-exclusive, non-transferable, and revocable license to access and use the APIs in accordance with these Terms.
Prohibited Uses: You agree not to use the APIs for any unlawful purpose or in any way that could damage, disable, overburden, or impair our servers or networks.
Compliance: You must comply with all applicable local, state, national, and international laws and regulations in your use of the APIs.
No Reverse Engineering: You may not attempt to reverse engineer, decompile, or disassemble the APIs, except as expressly permitted by law.
Issuance: Upon registration, you will receive an API Key. It is your responsibility to keep this key secure.
Confidentiality: Do not share your API Key with unauthorized parties. We are not liable for any loss or damage arising from your failure to protect your API Key.
Revocation: We reserve the right to revoke your API Key at any time, without notice, for any reason, including but not limited to breach of these Terms.
Usage Monitoring: We monitor the usage of API Keys to ensure compliance with these Terms and to prevent abuse.
Usage Limits: Each API Key has specific rate limits and quotas as defined in your API plan. Exceeding these limits may result in temporary suspension of your access.
Monitoring: We monitor API usage to ensure compliance with these Terms and to maintain the integrity of our services.
Upgrades: If you require higher limits, you may upgrade your API plan through your account dashboard.
Throttling: In cases of high traffic or potential abuse, we reserve the right to throttle API responses to maintain service quality.
Data Collection: We collect data as outlined in our Privacy Policy.
Data Usage: Your data is used to provide and improve our services, and as described in our Privacy Policy.
Security Measures: We implement industry-standard security measures to protect your data from unauthorized access, disclosure, alteration, and destruction.
User Responsibility: You are responsible for ensuring that your use of the APIs complies with all applicable data protection laws and regulations.
Data Breach Notification: In the event of a data breach that affects your data, we will notify you and the appropriate regulatory authorities as required by law.
All rights, title, and interest in and to the APIs, including all related intellectual property rights, are and shall remain the exclusive property of Asterion & Kojib or its licensors. Nothing in these Terms grants you any rights to use our trademarks, service marks, or trade names.
Prohibited Content: Do not use the APIs to transmit or store content that is illegal, harmful, or infringes on the rights of others.
No Reselling: You may not resell, redistribute, or lease the APIs to any third party.
No Reverse Engineering: Do not attempt to reverse engineer, decompile, or disassemble the APIs.
Compliance with Laws: You must comply with all applicable local, state, national, and international laws and regulations in your use of the APIs.
Prohibited Activities: You agree not to engage in activities that could disrupt the APIs, including but not limited to spamming, data mining, or hacking.
Updates and Changes: We reserve the right to modify, suspend, or discontinue the APIs or any part thereof at any time, without notice.
Versioning: We may introduce new versions of the APIs. Continued use of older versions is at your own risk, and we are not obligated to support deprecated versions.
Deprecation Policy: When deprecating API versions, we will provide reasonable notice to developers, typically 60 days, to allow for migration to newer versions.
Termination by You: You may terminate your access to the APIs at any time by discontinuing use and notifying us as required.
Termination by Us: We may terminate or suspend your access to the APIs immediately, without prior notice or liability, for any reason, including breach of these Terms.
Effect of Termination: Upon termination, you must cease all use of the APIs and destroy any copies of any API-related materials in your possession.
Survival: Sections pertaining to intellectual property, disclaimers, limitation of liability, indemnification, and governing law shall survive termination.
The APIs are provided on an "AS IS" and "AS AVAILABLE" basis. Asterion & Kojib makes no representations or warranties of any kind, express or implied, regarding the operation of the APIs or the information, content, materials, or products included on or otherwise made available to you through the APIs.

In no event shall Asterion & Kojib, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the APIs; (ii) any conduct or content of any third party on the Platform; (iii) any content obtained from the APIs; and (iv) unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage.
You agree to defend, indemnify, and hold harmless Asterion & Kojib and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of: (a) your use and access of the APIs, by you or any person using your account and password; (b) a breach of these Terms; or (c) Content posted on the Platform.
These Terms shall be governed and construed in accordance with the laws of the State of New York, United States, without regard to its conflict of law provisions.
Any disputes arising out of or related to these Terms shall be resolved through binding arbitration in New York, New York, in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted on an individual basis and not as a class action.
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
By continuing to access or use our APIs after those revisions become effective, you agree to be bound by the revised Terms. If you do not agree to the new terms, you are no longer authorized to use the APIs.
If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect and the invalid or unenforceable provision will be replaced by a valid and enforceable provision that most closely matches the intent of the original provision.
These Terms constitute the entire agreement between you and Asterion & Kojib regarding your use of the APIs, superseding any prior agreements between you and Asterion & Kojib regarding your use of the APIs.
